Terms of Service

1. Acceptance of Terms

By accessing or using the website at experiontech.net or engaging any services provided by Experion Technology ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use our website or services.

These Terms apply to all visitors, clients, and other users of the site and services. We reserve the right to update these Terms at any time. Continued use after updates constitutes acceptance of the revised Terms.

2. Services

Experion Technology provides software and web development services including, but not limited to:

  • Custom web and mobile application development
  • E-commerce development and management
  • WordPress and CMS development
  • POS and enterprise software solutions
  • Digital marketing, SEO, and social media management
  • UI/UX design and branding

The specific scope, deliverables, timelines, and pricing for any engagement are agreed upon in a separate written agreement or proposal signed by both parties.

3. Client Responsibilities

As a client or user of our services, you agree to:

  • Provide accurate, complete, and up-to-date information required for the delivery of services.
  • Review and approve deliverables within agreed timelines. Unreasonable delays in feedback may affect project schedules.
  • Ensure that any content, logos, images, or materials you supply do not infringe any third-party intellectual property rights.
  • Obtain all necessary licences, permissions, and consents for third-party materials you wish to use.
  • Make payments according to the schedule agreed in the project proposal or contract.
  • Not use our services for any unlawful, harmful, or fraudulent purpose.

4. Payment Terms

Payment terms are defined in each project proposal or contract. Unless otherwise agreed in writing:

  • A deposit (typically 50%) is required before project commencement.
  • The remaining balance is due upon project completion and before the handover of final files or deployment.
  • Invoices are payable within 7 days of issuance.
  • Late payments may attract interest at 2% per month or the maximum rate permitted by law, whichever is lower.
  • Work may be paused or withheld until outstanding payments are cleared.

All prices are quoted exclusive of applicable taxes and banking fees, which are the client's responsibility.

5. Intellectual Property

Upon receipt of full payment, Experion Technology assigns all intellectual property rights in the custom deliverables to the client, except for:

  • Pre-existing materials: Any tools, frameworks, libraries, or code that we developed prior to or independent of your project remain our property (subject to applicable open-source licences).
  • Third-party assets: Licences for third-party fonts, stock images, plugins, or other assets must be maintained by the client.
  • Portfolio rights: We retain the right to display your project in our portfolio and marketing materials unless you request otherwise in writing.

Until full payment is received, all deliverables and intellectual property remain the property of Experion Technology.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation continues for 2 years after the conclusion of the project, unless the information becomes publicly available through no fault of the receiving party.

We take reasonable measures to protect your business information and do not disclose it to third parties except as necessary to deliver the agreed services or as required by law.

7. Revisions & Change Requests

Each project proposal defines the number of revision rounds included. Changes requested beyond the agreed scope, or changes that alter the original brief, will be quoted and billed as additional work. We will notify you in writing before proceeding with out-of-scope changes.

8. Warranties & Representations

We warrant that:

  • Services will be performed with reasonable skill and care.
  • Deliverables will substantially conform to the specifications agreed in writing.
  • We have the right to enter into these Terms and are not under any conflicting obligation.

We do not warrant that the website or any third-party platforms, plugins, or services we integrate will be error-free, uninterrupted, or free of security vulnerabilities at all times after handover, as these are subject to third-party updates and changes.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Experion Technology's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to us in the 3 months prior to the event giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Experion Technology and its officers, employees, and contractors from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your breach of these Terms, your use of the services, or any content you provide to us that infringes a third party's rights.

11. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination:

  • You will pay for all work completed up to the termination date.
  • We will deliver any completed work product upon receipt of payment for work done.
  • Both parties' confidentiality obligations survive termination.

We reserve the right to terminate or suspend access to our services immediately, without notice, if you breach these Terms or engage in conduct we deem harmful to other clients or our operations.

12. Use of Website

When using this website, you agree not to:

  • Use the site for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to gain unauthorized access to any portion of the site or its related systems.
  • Transmit viruses, malware, or other harmful code.
  • Scrape, crawl, or systematically extract data from the site without our written permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law principles.

Any dispute arising from these Terms or the services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to the courts of competent jurisdiction in Dhaka, Bangladesh.

14. Entire Agreement

These Terms, together with any project proposal or written contract signed by both parties and our Privacy Policy, constitute the entire agreement between you and Experion Technology regarding the subject matter herein and supersede all prior communications, understandings, and agreements.
